Terms of Service

Effective Date: July 17, 2026

ATUUNE ("ATUUNE," "we," "our," or "us") provides the Services described in these Terms of Service ("Terms"), which govern your access to and use of the ATUUNE website, mobile applications, software, and related services (collectively, the "Services," as further defined in Section 1).

By creating an account, or by accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you use the Services on behalf of an organization, healthcare practice, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1. Definitions

For purposes of these Terms:

  • ATUUNE ("we," "our," or "us") means the company operating the Services.
  • Services means the ATUUNE website, mobile applications, software, APIs, and related technology made available by ATUUNE.
  • Patient means an individual seeking to identify, connect with, or receive services from a Provider through the Services.
  • Provider means an individual licensed healthcare professional using the Services.
  • Practice means a clinic, group practice, healthcare organization, or other entity that employs or contracts with one or more Providers.
  • Account means a registered user account created to access the Services.
  • Content means information, text, images, documents, profile information, communications, or other materials submitted through the Services.
  • Subscription means a recurring paid plan offered by ATUUNE.
  • Outcome Fee means a fee that becomes payable when a qualifying milestone, as defined on the Pricing page or in the applicable agreement, has been satisfied.

2. Description of the Services

We provide technology designed to support outpatient mental healthcare through:

  • Provider discovery
  • Patient-provider matching
  • Scheduling workflows
  • Continuity support
  • Practice operations
  • Related administrative tools

We do not:

  • Provide medical care
  • Practice medicine
  • Provide therapy
  • Diagnose medical conditions
  • Prescribe treatment
  • Supervise clinical care
  • Guarantee treatment outcomes
  • Operate emergency services

Clinical decisions remain solely the responsibility of licensed healthcare professionals. See Section 16 for how this distinction allocates responsibility between ATUUNE, Providers, and Patients.

3. No Guarantee of Provider Availability or Match

We are designed to facilitate provider discovery and matching. However, we do not guarantee that a suitable Provider will be available for every Patient, that a Patient will select a recommended Provider, or that a Provider will accept a Patient. Provider availability, capacity, participation, licensing, and practice policies remain outside our control.

4. Eligibility

You must be legally capable of entering into a binding agreement to use the Services. By using the Services, you represent that:

  • Information you provide is accurate
  • You will keep your information current
  • You will comply with applicable laws
  • You are authorized to use the Services

Providers further represent that they hold and maintain all licenses, certifications, registrations, or professional qualifications required by applicable law.

5. Accounts

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity occurring under your Account
  • Promptly notifying us of unauthorized access
  • Maintaining accurate account information

We may suspend or terminate Accounts that contain false information or otherwise violate these Terms.

6. Acceptable Use

You agree not to:

  • Create fraudulent or misleading accounts
  • Impersonate another individual or organization
  • Upload malicious software
  • Interfere with the operation or security of the Services
  • Scrape, crawl, or harvest platform data without authorization
  • Reverse engineer or attempt to discover source code, except to the extent applicable law prohibits this restriction
  • Use the Services for unlawful purposes
  • Infringe the rights of others
  • Misuse communication tools provided through the Services

We may investigate suspected violations and take appropriate action, including suspension or termination.

7. Provider Responsibilities

Providers are solely responsible for:

  • Maintaining required professional licenses
  • Complying with applicable healthcare laws
  • Ensuring the accuracy of profile information
  • Managing patient care
  • Documenting clinical services
  • Obtaining informed consent where required
  • Exercising independent professional judgment

We do not supervise or direct clinical decision-making.

8. Patient Responsibilities

Patients are responsible for:

  • Providing accurate information
  • Evaluating whether a Provider meets their needs
  • Making their own healthcare decisions
  • Attending scheduled appointments
  • Contacting emergency services or appropriate crisis resources in urgent situations

Provider recommendations presented through the Services do not constitute medical advice or guarantees of treatment outcomes.

9. Fees, Billing, and Payment

Certain Services require payment. Applicable pricing is described on the ATUUNE Pricing page or in a separate written agreement. Depending on the selected plan, fees may include:

  • Recurring subscription fees
  • Outcome Fees
  • Implementation or enterprise fees, where applicable

By purchasing paid Services, you authorize us and our payment processors to charge the applicable payment method. You are responsible for any applicable taxes unless otherwise stated. We may modify pricing prospectively by providing reasonable notice.

10. Refunds and Cancellation

Unless otherwise required by applicable law or a separate written agreement:

  • Subscriptions may be cancelled at any time
  • Cancellation prevents future recurring charges but does not automatically entitle a user to refunds for prior billing periods
  • Fees earned for Services already provided, or Outcome Fees already incurred, remain payable

Additional refund terms, if any, may be described on the Pricing page or in separate agreements.

11. Intellectual Property

The Services, including software, algorithms, designs, trademarks, logos, documentation, graphics, and related intellectual property, are owned by ATUUNE or its licensors and are protected by applicable intellectual property laws. These Terms do not transfer ownership of any intellectual property to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services.

12. User Content

You retain ownership of Content you submit to the Services. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, reproduce, and display that Content solely as necessary to operate, maintain, secure, and improve the Services. You represent that you have the rights necessary to grant this license.

13. Automated Recommendations

The Services may use automated systems to assist with:

  • Provider matching
  • Scheduling recommendations
  • Continuity monitoring
  • Operational insights

These systems are designed to support, not replace, human decision-making. Automated recommendations do not constitute medical advice or clinical judgment.

14. Third-Party Services

The Services may integrate with third-party providers, including providers of authentication, payment processing, email delivery, cloud hosting, analytics, and calendar synchronization. We are not responsible for the availability, accuracy, or practices of third-party services. Use of third-party services may be governed by their own terms and privacy policies.

15. Healthcare Services Disclaimer

We are a technology platform. We do not employ Providers to deliver healthcare services unless expressly stated in a separate written agreement. Healthcare services are provided solely by licensed Providers.

Providers remain exclusively responsible for:

  • Diagnosis
  • Treatment
  • Prescribing medications
  • Maintaining medical records
  • Complying with professional standards
  • Complying with healthcare laws

Patients remain solely responsible for selecting whether to receive care from any Provider.

16. Disclaimers

The Services rely on information submitted by Providers, Practices, and other users. We do not guarantee that provider profiles, credentials, availability, or other user-submitted information are complete, current, or accurate at all times.

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available." We do not warrant that:

  • The Services will be uninterrupted
  • The Services will be error-free
  • Every Provider will be suitable for every Patient
  • Any particular clinical outcome will be achieved

17. Limitation of Liability

To the fullest extent permitted by applicable law, ATUUNE and its affiliates, officers, directors, employees, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Services. Nothing in these Terms excludes liability that cannot lawfully be excluded.

18. Indemnification

You agree to indemnify, defend, and hold harmless ATUUNE and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, costs, and reasonable legal fees arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of applicable law
  • Your infringement of another person's rights

19. Suspension and Termination

We may suspend or terminate access to the Services if:

  • These Terms are violated
  • Fraudulent activity is suspected
  • Continued access presents security or legal risks
  • Required by law

Termination does not relieve any payment obligations that accrued before termination.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the Effective Date and provide notice through the Services where appropriate. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws specified in the applicable ATUUNE customer agreement or, where no separate agreement exists, the laws of the jurisdiction in which ATUUNE is organized, without regard to conflict-of-law principles. Nothing in these Terms limits any mandatory consumer protections that apply under applicable law.
